Inginity Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Inginity.studio website (the “Site”), operated by Inginity LLC (“Inginity,” “we,” “our,” or “us”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree with these Terms, please do not use the Site.

These Terms apply solely to the general Inginity.studio website. Individual Inginity products, mobile applications, or services may have their own separate terms and privacy policies.

• Reproduce, distribute, publicly display, or create derivative works from the Content without our prior written permission;
• Use any trademarks, logos, or branding of Inginity without our express written consent.

In no event shall Inginity’s total liability to you for all claims relating to the Site exceed the amount, if any, that you paid to Inginity for use of the Site during the twelve (12) months prior to the event giving rise to the claim, or one hundred U.S. dollars (US $100), whichever is greater.

7. Indemnification

You agree to indemnify, defend, and hold harmless Inginity and its officers, directors, employees, contractors, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with:

• Your access to or use of the Site;
• Your violation of these Terms;
• Your violation of any applicable law or the rights of any third party.

8. Changes to the Site and These Terms

We may update, modify, or discontinue any part of the Site at any time, with or without notice. We may also update these Terms from time to time. When we do, we will revise the “Last Updated” date at the top of this page.

Your continued use of the Site after any changes to these Terms constitutes your acceptance of the updated Terms. If you do not agree to the changes, you should stop using the Site.

9. Governing Law and Dispute Resolution

These Terms and your use of the Site shall be governed by and construed in accordance with the laws of the Delaware, without regard to its conflict of law principles.

Any disputes arising out of or relating to these Terms or the Site shall be brought exclusively in the courts located in Delaware, and you consent to the personal jurisdiction of such courts.

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

These Terms constitute the entire agreement between you and Inginity regarding your use of the Site and supersede any prior or contemporaneous agreements, communications, or understandings relating to the Site.
